Terms of Service
Last updated: October 11, 2026
1. Services
Kamalution Company ("we," "us," "Provider") provides two categories of services:
(a) Grant Services: grant proposal drafting, compliance impact briefs, and grant opportunity reports.
(b) HIPAA Compliance Services: security risk analysis, risk management planning, policy and procedure documentation, and response documentation for organizations with an actual regulatory request.
Deliverables are provided as electronically supplied digital products (PDF and/or DOCX format). HIPAA Compliance Services are governed by a separate signed Service Agreement ("MSA") executed before work begins. If these Terms conflict with a signed MSA, the MSA controls for that engagement. The "Effective Date" of an MSA is the date it has been signed by both parties.
2. No guarantee of outcome
Our Grant Services do not guarantee that any grant application will be approved, funded or selected. Grant decisions are made solely by the funding agency.
Our HIPAA Compliance Services do not guarantee that any document will satisfy HHS OCR, any state attorney general, or any other regulatory body. We do not certify compliance. Regulatory outcomes are determined solely by the applicable regulator.
We are not affiliated with HHS, OCR, or any federal, state or local government agency.
3. Not legal, medical or financial advice
All deliverables are research, drafting and documentation services. They are not legal advice, medical advice, tax advice, financial advice, a compliance certification, an audit, or a technical security assessment or penetration test. We are not a law firm. You are responsible for verifying all information and for consulting a qualified healthcare attorney about your legal obligations under HIPAA and applicable state law.
4. Your responsibility
You are responsible for the accuracy and completeness of all information you provide through our forms, questionnaires and uploads.
For Grant Services: you are responsible for submitting your application through the appropriate official portal (such as Grants.gov, Research.gov or a state portal), for meeting all agency deadlines, and for ensuring your organization meets all eligibility requirements.
For HIPAA Compliance Services: you are responsible for removing all individually identifiable health information from any document, screenshot or data you send us, for implementing any policies and procedures described in a deliverable, and for meeting all deadlines set by HHS OCR or any other regulator.
5. Delivery
Grant Services: deliverables are provided within 3 to 5 business days of a completed intake form submission, unless otherwise stated. We will notify you if delivery will extend beyond 5 business days.
HIPAA Compliance Services: delivery timeframes are specified in the applicable proposal and MSA. The delivery clock is paused during any period in which we are waiting for information from you.
6. Revisions
Grant Services: one (1) revision round is included. Revisions must be requested within 7 days of delivery. Additional revision rounds are $500 per round.
HIPAA Compliance Services: one (1) revision round is included, limited to corrections of factual errors, formatting issues or citation errors identified within 14 days of delivery. A "revision round" is a single consolidated request for changes. Substantive rewrites, additional documents, or changes caused by inaccurate or incomplete information you provided are not included and will be quoted separately. The MSA governs revision terms for HIPAA Compliance Services.
7. Fees and refunds
Grant Services: all sales are final after delivery. If a product is not delivered within the stated timeframe, you are eligible for a full refund.
HIPAA Compliance Services: fees, deposits, cancellation and refund terms are set out in the applicable proposal and MSA. Work is not refundable while it is in progress except as the MSA provides.
8. Intellectual property
Grant Services: deliverables are provided for your exclusive use in your grant application. You own the final submitted application. We may use redacted, anonymized portions of deliverables as samples, and will not include information that identifies you without your permission.
HIPAA Compliance Services: upon full payment you receive a perpetual, non-exclusive, non-transferable license to use the deliverable for your internal compliance purposes. We retain all rights in our pre-existing templates, methodologies and intellectual property. You may not sell, license or provide the deliverable to any third party, other than your professional advisers and as required by a regulator. The MSA governs intellectual property terms for HIPAA Compliance Services.
9. Limitation of liability
To the fullest extent permitted by law, Kamalution Company is not liable for any indirect, incidental, consequential, special or punitive damages arising from the use of our services, including loss of funding opportunity, lost profits, regulatory fines, penalties or settlements, or damages resulting from a rejected grant application or a regulatory finding.
For Grant Services, our total aggregate liability will not exceed the fees you paid for the applicable product. For HIPAA Compliance Services, limitation of liability is governed by the applicable MSA.
10. No business associate relationship
For HIPAA Compliance Services: Kamalution Company is not a Business Associate as defined in 45 CFR 160.103. We do not create, receive, maintain or transmit protected health information, and all information you provide must be free of individually identifiable health information. The MSA governs this relationship in full.
11. Data handling and privacy
Documents you provide are used only to produce your deliverable. For Grant Services, we delete your documents within 30 days of delivery. For HIPAA Compliance Services, we retain your documents for 90 days from delivery to accommodate follow-up, then permanently delete them. During retention we store documents in an access-controlled environment. You are responsible for keeping your own copies, and you may request earlier deletion by contacting us at [email protected]. Our Privacy Policy describes the information we collect and how we handle it.
We do not sell, rent or share your data for marketing, or with third parties other than service providers who help us operate our business and produce your deliverable, as described in the Privacy Policy. Documents may be processed by AI-assisted software tools that we operate as part of production, subject to our security controls.
If you inadvertently include protected health information in an upload, notify us immediately and we will delete it promptly. You may request a copy of the data we hold about you, correction of inaccurate data, or earlier deletion.
12. Independent contractor
Kamalution Company is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship.
13. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, internet or service outages, hardware failure or government actions. The affected party will notify the other within 2 business days.
14. Eligibility and authority
Our services are for businesses and organizations. By using them you confirm that you are at least 18 years old and have authority to bind the organization you represent.
15. Entire agreement; changes; severability
These Terms are the entire agreement between the parties on their subject matter and replace prior discussions and representations. For HIPAA Compliance Services, the MSA is the entire agreement for that engagement. We may update these Terms by posting a new version; the version in effect when you place an order applies to that order. If any provision is found unenforceable, the remaining provisions stay in effect.
16. Assignment
Neither party may assign these Terms without the other party's written consent.
17. Attorney's fees
In any action to enforce these Terms, the prevailing party is entitled to recover reasonable attorney's fees and costs.
18. Governing law and venue
These Terms are governed by the laws of the State of Washington. For Grant Services, disputes will be resolved in the state or federal courts located in Thurston County, Washington. For HIPAA Compliance Services, governing law and venue are specified in the applicable MSA.
19. Jury waiver
TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.
20. Acceptance
By using this website, submitting a form, placing an order or requesting a quote, you agree to these Terms. If you do not agree, do not use this website.
